By accessing or using the services provided by Aion ("we," "our," or "us"), including our website at aionvision.tech, our web application, and our API services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the revised Terms. We will notify you of material changes via email or a notice within the Services.

2. Description of Services

Aion provides an AI-powered visual intelligence platform that enables users to upload, search, analyze, and organize images, documents, and other content. Our Services include:

• A web application for managing and interacting with visual and document content
• AI-driven search, analysis, and organization capabilities
• API and SDK access for programmatic integration
• Chat-based AI assistant for content intelligence

3. Account Registration

To use our Services, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials and API keys
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

You must be at least 13 years old to create an account. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Your Content

You retain ownership of all content you upload, submit, or make available through the Services ("Your Content"). By uploading content, you grant us a limited, non-exclusive license to process, store, and display Your Content solely to provide the Services to you.

You represent and warrant that:

• You own or have the necessary rights to upload and use Your Content
• Your Content does not violate any applicable law or third-party rights
• Your Content does not contain malicious code or harmful material

We do not use Your Content to train our AI models or for any purpose beyond providing the Services, unless you provide explicit consent.

5. Acceptable Use

• Violate any applicable local, state, national, or international law
• Infringe upon the intellectual property or privacy rights of others

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms.

6. Subscription and Payment

Certain features of the Services require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your chosen plan
• Provide valid payment information through our payment processor (Stripe)
• Authorize recurring charges for subscription renewals

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

We reserve the right to change pricing with 30 days' notice. Price changes will apply at your next billing cycle after the notice period.

7. API Usage

Access to our API is subject to the following conditions:

• API keys are confidential and must not be shared or exposed publicly
• Usage is subject to rate limits and quotas as defined by your subscription plan
• You are responsible for all API calls made using your credentials
• We may throttle or suspend API access to protect service stability

8. Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, and other content provided by Aion, are owned by us and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Services beyond the limited license to use them as described herein.

"Aion" and our logo are trademarks of Aion. You may not use our trademarks without prior written permission.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. AI-generated analyses and results are provided for informational purposes and should not be relied upon as the sole basis for critical decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Aion, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with reasonable notice.

Upon termination, your right to use the Services will cease immediately. We will make your data available for export for a reasonable period following termination, after which it may be permanently deleted.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the courts of competent jurisdiction.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Aion.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent.
